Terms of Use

These Terms of Use govern your use of Grocer. By downloading or using the app, you agree to them. If you don’t agree, please don’t use Grocer.

These Terms contain a binding arbitration agreement and a class action waiver (see “Dispute resolution” below), which affect how disputes between you and Narro are resolved. Please read that section carefully.

1. Your license to use Grocer

Grocer is provided by Narro. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to download and use the Grocer app on Apple devices you own or control, for your own personal, non-commercial use.

You may not copy, modify, reverse-engineer, resell, or redistribute the app except as allowed by law, and you agree to use Grocer only in ways that comply with these Terms and applicable law.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to use Grocer. By making a purchase through Grocer, you represent that you are legally able to enter into a binding contract or have the consent of a parent or guardian who agrees to these Terms on your behalf.

3. Grocer Pro subscriptions

Grocer Pro is available as an auto-renewing subscription on a periodic basis (such as monthly, quarterly, or annual), and may include a free trial. You can purchase it through the App Store (billed to your Apple Account) or, in the United States, through Stripe web checkout (billed to the payment method you provide to Stripe).

Your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the period ends. Your payment method is charged for renewal within 24 hours before the start of the new period at the then-current price.

If your subscription includes a free trial, any unused portion of the trial is forfeited when you purchase a subscription, where applicable. You will be charged when the trial ends unless you cancel at least 24 hours before it does.

Grocer Pro and its features evolve over time. We may add, change, or remove individual features of Grocer Pro (or of the free tier) at any time, without notice, compensation, or refund, and such changes do not entitle you to a refund of amounts already paid for a subscription period. If you no longer wish to subscribe after a change, you may cancel before your next renewal.

For App Store purchases, manage or cancel your subscription in your Apple Account settings (Settings → your name → Subscriptions); deleting the app does not cancel a subscription. For purchases made through Stripe web checkout, manage or cancel through the Stripe billing portal linked from the app or from your purchase confirmation. Except where required by law or as expressly provided in these Terms, payments are non-refundable.

4. Grocer Pro Lifetime

Where offered, Grocer Pro Lifetime is a one-time purchase that provides access to Grocer Pro for as long as Grocer Pro is offered. “Lifetime” refers to the lifetime of the product — that is, the period during which Grocer and Grocer Pro remain available — not the lifetime of the purchaser or of any particular device.

A Lifetime purchase carries the following availability guarantee. The guarantee is fully satisfied upon the first to occur of: (a) ten (10) years of Grocer and Grocer Pro availability, measured from your purchase date; or (b) the point at which the costs we incur providing AI-powered features on your behalf equal the amount you paid for the Lifetime purchase. Whichever of these two measures is reached first — the lower of the two — defines the extent of the guarantee.

In the unlikely event that Grocer or Grocer Pro becomes unavailable, for any reason, before the guarantee is satisfied, you may request a partial refund of the difference. The refund amount is the lower of: (a) the portion of your purchase price corresponding pro rata to the unelapsed remainder of the ten-year period; or (b) the amount you paid less the costs we have incurred providing AI-powered features on your behalf. To request this refund, email support@grocer.sh within 180 days of our notice that the app or Grocer Pro is being discontinued. Requests received after that period will not be eligible.

For Lifetime purchases made through Apple’s App Store, payment is processed by Apple, not by us. Because Apple controls payment and refund processing for App Store transactions, we cannot guarantee refunds for those purchases; any refund of an App Store purchase is subject to Apple’s policies and must be requested through Apple. We will cooperate in good faith with any such request.

For Lifetime purchases made through Stripe web checkout, Stripe processes the one-time payment. Refund requests for those purchases are handled by us under the Lifetime availability guarantee above, subject to any additional rights provided by applicable law.

5. Acceptable use

You agree not to use Grocer to break the law, infringe anyone’s rights, or disrupt the service. You are responsible for the content you add to your lists and for the people you invite to share them.

Because shared lists sync between the members you invite, anything you add to a shared list is visible to the other members of that list. Only invite people you trust with that information.

6. Changes to the service

We are always improving Grocer, and features may be added, changed, or removed at any time. We may also suspend or discontinue the service, in whole or in part, at any time. Except as expressly provided in the Grocer Pro Lifetime section above, we will not be liable to you for any modification, suspension, or discontinuation of the service.

7. Feedback

If you send us ideas, suggestions, or other feedback about Grocer, you agree that we may use it without restriction or compensation to you, and that it does not create any obligation on our part.

8. Disclaimer of warranties

Grocer is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the app will be uninterrupted, error-free, or that reminders, syncing, or notifications will always be delivered on time.

9. Limitation of liability

To the fullest extent permitted by law, Narro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising out of or relating to your use of Grocer. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Narro and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to the content you add to Grocer, your use of the service, or your violation of these Terms or of applicable law.

11. Termination

You may stop using Grocer at any time by deleting the app. We may suspend or terminate your access if you violate these Terms or use the app in a way that could harm the service or other users. Sections that by their nature should survive termination — such as disclaimers, limitations of liability, and the Lifetime refund terms above — will continue to apply.

12. Governing law

These Terms, and any dispute arising out of or relating to them or to Grocer, are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. For any dispute that is not subject to arbitration under the next section, you and Narro consent to the exclusive jurisdiction of the state and federal courts located in Michigan.

13. Dispute resolution; binding arbitration; class action waiver

Please read this section carefully. It requires most disputes between you and Narro to be resolved through binding individual arbitration, and it waives your right to a jury trial and to participate in class actions.

Informal resolution first. Before filing a claim, you agree to contact us at support@grocer.sh with a written description of the dispute and give us 60 days to try to resolve it informally. Most concerns can be resolved this way, quickly and at no cost. Narro will do the same before bringing a claim against you.

Binding arbitration. If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or your use of Grocer will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted by a single arbitrator, in English, and may take place by videoconference or, if an in-person hearing is required, in the county where you reside. Payment of filing and arbitrator fees will be governed by the AAA’s rules. The arbitrator’s award is final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Exceptions. Either party may bring an individual claim in small claims court instead of arbitrating, and either party may seek injunctive or other equitable relief in court to protect its intellectual property.

Class action and jury trial waiver. YOU AND NARRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND EACH WAIVES ANY RIGHT TO A JURY TRIAL. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this class action waiver is found unenforceable as to a particular dispute, then this entire arbitration section will not apply to that dispute.

Coordinated filings. If twenty-five (25) or more arbitration demands raising similar claims are filed by or with the assistance of the same or coordinated counsel or organization, you and Narro agree that the demands will be resolved in sequential batches of up to twenty-five (25), with a single arbitrator appointed per batch, and that any applicable statute of limitations will be tolled for claims awaiting their batch. The AAA’s fee schedule for each batch applies as if it were a single consolidated filing to the extent its rules permit.

Fees for bad-faith claims. If the arbitrator finds that a claim, counterclaim, or defense was frivolous or brought in bad faith or for an improper purpose, the arbitrator may award the other party its reasonable attorneys’ fees and costs, to the extent permitted by the AAA’s rules and applicable law.

Confidentiality. The existence, content, and outcome of any arbitration under this section will be kept confidential by both parties, except as needed to enforce an award or as required by law.

Time limit on claims. To the extent permitted by law, any claim arising out of or relating to these Terms or Grocer must be brought within one (1) year after the claim arose; otherwise, it is permanently barred.

14. Apple's standard EULA

Purchases made through the App Store are also governed by Apple’s standard Licensed Application End User License Agreement. Where those terms conflict with these Terms for App Store purchases, Apple’s standard EULA governs to the extent of the conflict.

15. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and, for App Store purchases, Apple’s standard EULA, are the entire agreement between you and Narro regarding Grocer, and supersede any prior agreements on that subject.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law. You may not assign or transfer these Terms, or your Grocer Pro subscription or Lifetime purchase, without our prior written consent.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
